Terms and Conditions

1. Scope
These terms and conditions apply to all contracts for consulting, analysis, structuring, or project services between Marketplace24-7 GmbH (hereinafter: Consultant) and the respective contracting party (hereinafter: Client), regardless of medium or form of commissioning (online, written, digital, or verbally confirmed).
2. Scope of Services
The Consultant provides strategic, economic, legal, and tax-related consulting services in the following core areas: International corporate structuring, formation, holding setups, location relocation, asset protection & private market concepts, investor structures, bonds, trusts, concierge services & special projects. A specific scope of services is determined either from individual offers, service descriptions, email confirmations, or platform ticketing systems. The services do not constitute tax or legal advice in the strict sense, unless this is expressly provided by appropriately qualified partners.
3. Remuneration & Billing
Services are remunerated on an hourly basis. Billing is monthly, based on logged working hours. Objections to invoices must be made in writing within 7 calendar days. All prices are net, plus any applicable statutory VAT.
4. Client Obligations to Cooperate
The Client undertakes to provide the Consultant with all information, documents, and cooperation services required for implementation in a timely manner. Delays resulting from lack of cooperation do not lead to deadline extensions and do not justify liability.
5. Confidentiality & Data Protection
Both parties undertake to strict confidentiality of all information, documents, business processes, and data from the collaboration. The confidentiality obligation also applies indefinitely after the end of the contract. The collection and processing of personal data is GDPR compliant.
6. Liability
The Consultant is only liable for intentional or grossly negligent breach of duty. Liability for consequential damages, lost profits, or indirect damages is excluded. The Client bears responsibility for business decisions made on the basis of the Consultant's recommendations.
7. Termination
Both parties can terminate the mandate relationship in writing with 14 days' notice, unless a different regulation has been agreed. Services already provided up to the termination date are fully payable.
8. Arbitration
All disputes arising from or in connection with this contract are subject exclusively to the Swiss Rules of International Arbitration (Swiss Rules 2021). The arbitral tribunal consists of a sole arbitrator. Seat: Zurich, Switzerland β Language: German β Law: Swiss Code of Obligations.
9. Final Provisions
Side agreements require written form. Should individual provisions be invalid, the effectiveness of the others remains unaffected. Place of performance is Freienbach SZ, Switzerland.
